O grupo português e Isabel dos Santos, principal accionista da Zon, entendem esta operação como "alavanca" para investir em novos mercados e produtos.
A Sonaecom (dona do PÚBLICO) e a maior accionista da Zon confirmam que alcançaram um acordo para "promover" a fusão, que, no caso do primeiro grupo, abrangerá apenas a operadora de telecomunicações Optimus.
Com vista à concretização da operação, sobre a qual já se vinha especulando nos últimos anos, as duas empresas vão solicitar às administrações da Optimus e da Zon que "apreciem a conveniência e oportunidade" da fusão, para depois submeterem a proposta às respectivas assembleias gerais.
O acordo anunciado esta sexta-feira é firmado entre a Sonaecom, a Kento Holding Limited e a Jadeium, sendo estas duas últimas holdings detidas pela empresária filha do presidente de Angola, Isabel dos Santos, que é a maior accionista da Zon. A operação pressupõe uma valorização desta última empresa correspondente a 150% do valor da Optimus, apesar de deixar margem para outra "relação de troca diferente (...) que as administrações da Optimus e da Zon venham a considerar mais adequada".
Para concretizar a fusão, será criado um veículo financeiro detido em partes iguais pela Sonaecom e pelas holdings de Isabel dos Santos, que reunirá uma parcela substancial da participação da primeira na Optimus e a totalidade da participação da Kento e da Jadeium na Zon.
No comunicado, explica-se que este negócio "permitirá obter uma optimização de recursos significativa e uma maior eficiência e rendibilidade que servirão de alavanca para o reforço de capacidade de investimento da entidade resultante, seja em novos mercados, sem em novos produtos".
O documento acrescenta que esta fusão "corresponde ao cenário de consolidação do sector das telecomunicações português com maior potencial para intensificar os níveis de concorrência entre operadores", onde se destaca a PT (empresa sobre a qual a Sonaecom tentou lançar uma operação pública de aquisição).
Os rumores sobre a união das duas empresas começaram em 2008, mas ganharam especial força em Setembro deste ano, quando o presidente executivo da Optimus afirmou que a operação "fazia sentido". Miguel Reis acrescentou que "um novo conjunto de condições está reunido e poderá ajudar a que a fusão aconteça”, referindo-se ao reforço de poderes de Isabel dos Santos na Zon.
